Je teda spravodliv\u00e9, aby n\u00e1jomca platil n\u00e1jom aj ke\u010f nem\u00f4\u017ee u\u017e\u00edva\u0165 prenajat\u00fa nehnute\u013enos\u0165 na dohodnut\u00fd \u00fa\u010del alebo je to prenaj\u00edmate\u013e kto str\u00e1ca pr\u00e1vo na \u00fahradu n\u00e1jmu ? <strong>Na koho teda padne \u010dierny peter ? &nbsp;<\/strong><\/p>\n\n\n\n<p><br>&nbsp; Ob\u010diansky aj Obchodn\u00fd z\u00e1konn\u00edk upravuj\u00fa situ\u00e1cie kedy sa dohodnut\u00e9 plnenie, resp. povinnos\u0165 na ktor\u00fa sa jedna zo zmluvn\u00fd str\u00e1n zavia\u017ee, v na\u0161om pr\u00edpade n\u00e1jom, stane dodato\u010dne nemo\u017en\u00fdm. Tak\u00e1ta nemo\u017enos\u0165 m\u00f4\u017ee by\u0165 pr\u00e1vna alebo aj faktick\u00e1 a&nbsp;sp\u00f4sobuje z\u00e1nik z\u00e1v\u00e4zku dl\u017en\u00edka &#8211; prenaj\u00edmate\u013ea. D\u00f4le\u017eit\u00e9 je, \u017ee n\u00e1jomn\u00e1 zmluva je obojstranne zav\u00e4zuj\u00faca, teda prenaj\u00edmate\u013e prenech\u00e1va za odplatu vec n\u00e1jomcovi na u\u017e\u00edvanie a&nbsp;n\u00e1jomca vec u\u017e\u00edva na dohodnut\u00fd \u00fa\u010del za \u010do plat\u00ed n\u00e1jomn\u00e9. Plat\u00ed preto, \u017ee <strong>ak pre pr\u00e1vnu nemo\u017enos\u0165 plnenia zanik\u00e1 z\u00e1v\u00e4zok jednej zmluvnej strany v&nbsp;podobe odplatn\u00e9ho prenechania nehnute\u013enosti na u\u017e\u00edvanie dohodnut\u00fdm sp\u00f4sobom, potom zanik\u00e1 aj povinnos\u0165 druhej zmluvnej strany v&nbsp;podobe odplaty &#8211; n\u00e1jomn\u00e9ho za tak\u00e9 dohodnut\u00e9 u\u017e\u00edvanie.&nbsp; &nbsp;<\/strong> &nbsp;<\/p>\n\n\n\n<p>&nbsp; Faktickou nemo\u017enos\u0165ou plnenia je napr\u00edklad, ke\u010f prenajat\u00e1 vec zanikne po uzatvoren\u00ed n\u00e1jomnej zmluvy. Nemo\u017eno predsa prenaja\u0165 vec, ktor\u00e1 fakticky neexistuje.&nbsp;<\/p>\n\n\n\n<p>&nbsp; D\u00f4vodom pr\u00e1vnej nemo\u017enosti plnenia je neskor\u0161\u00ed (po uzavret\u00ed zmluvy) z\u00e1konn\u00fd z\u00e1kaz dohodnut\u00e9ho plnenia. Napr\u00edklad ste dohodlli k\u00fapu pyrotechniky, ktorej predaj bol ale nesk\u00f4r zak\u00e1zan\u00fd. Uveden\u00e9 tak evokuje, \u017ee <strong>ak \u0161t\u00e1t zatvoril vybran\u00e9 prev\u00e1dzky, zak\u00e1zal tak u\u017e\u00edva\u0165 prenajat\u00fa vec dohodnut\u00fdm sp\u00f4sobom<\/strong>. <strong>Potom zrejme ide o&nbsp;do\u010dasn\u00fa nemo\u017enos\u0165 plnenia, preto\u017ee n\u00e1jomcovia nem\u00f4\u017eu v&nbsp;d\u00f4sledku z\u00e1konn\u00e9ho z\u00e1kazu u\u017e\u00edva\u0165 vec dohodnut\u00fdm sp\u00f4sobom<\/strong>. &nbsp;<\/p>\n\n\n\n<p>&nbsp; Vo v\u00e4\u010d\u0161ine pr\u00edpadov ide o&nbsp;n\u00e1jmy medzi podnikate\u013emi, av\u0161ak <strong>plnenie je v\u017edy mo\u017en\u00e9, ak ho mo\u017eno vykona\u0165:<\/strong><\/p>\n\n\n\n<ol><li><strong>za s\u0165a\u017een\u00fdch podmienok,&nbsp;<\/strong><\/li><li><strong>s v\u00e4\u010d\u0161\u00edmi n\u00e1kladmi,<\/strong><\/li><li><strong>po dojednanom \u010dase,<\/strong> &nbsp;<\/li><li><strong>pomocou tretej osoby<\/strong><\/li><\/ol>\n\n\n\n<p>Nahradi\u0165 n\u00e1jom nehnute\u013enosti dohodnut\u00fd v&nbsp;presne vymedzenom \u010dase v&nbsp;zak\u00e1zanej prev\u00e1dzke v&nbsp;tom istom \u010dase nemo\u017eno. Dan\u00e1 prev\u00e1dzka by bola zak\u00e1zan\u00e1 aj v&nbsp;inej nehnute\u013enosti. N\u00e1jom je pritom aktu\u00e1lny v&nbsp;danom \u010dase a&nbsp;dohodnut\u00fd na fixn\u00e9 a neopakovate\u013en\u00e9 obdobie, \u010do je pr\u00edzna\u010dn\u00e9 plynut\u00edm n\u00e1jmu v&nbsp;\u010dase a&nbsp;odplatou za mo\u017enos\u0165 u\u017e\u00edva\u0165 nehnute\u013enos\u0165 v&nbsp;tomto konkr\u00e9tnom \u010dase. Mo\u017enos\u0165 u\u017e\u00edva\u0165 vec v&nbsp;ur\u010ditom \u010dase mo\u017eno pova\u017eova\u0165 za neopakovate\u013en\u00fa. Na druhej strane nie je vyl\u00fa\u010den\u00e9, aby sa prenaj\u00edmate\u013e a&nbsp;n\u00e1jomca dohodli na n\u00e1hradnom n\u00e1jme po uplynut\u00ed p\u00f4vodnej doby n\u00e1jmu za obdobie, kedy n\u00e1jomca nemohol u\u017e\u00edva\u0165 nehnute\u013enos\u0165. Treba by\u0165 v\u0161ak pozorn\u00fd, preto\u017ee niektor\u00e9 prev\u00e1dzky mohli vykon\u00e1va\u0165 \u010dinnosti obmedzene aj napriek z\u00e1kazu, a preto nedo\u0161lo k&nbsp;\u00faplnej nemo\u017enosti plnenia (napr\u00edklad re\u0161taur\u00e1cie a&nbsp;st\u00e1nky s&nbsp;r\u00fdchlym ob\u010derstven\u00edm).<\/p>\n\n\n\n<p>&nbsp; Vo vz\u0165ahu medzi podnikate\u013emi sa z\u00e1v\u00e4zok st\u00e1va nesplnite\u013en\u00fdm tie\u017e v pr\u00edpade, ke\u010f <strong>z\u00e1kon dl\u017en\u00edkovi zakazuje spr\u00e1vanie, na ktor\u00e9 je zaviazan\u00fd, pri\u010dom tak\u00fdto z\u00e1kaz je trval\u00fd (nie do\u010dasn\u00fd)<\/strong>. Toto pravidlo sa zrejme vz\u0165ahuje na pr\u00edpady, kedy by hypoteticky do\u0161lo k trval\u00e9mu&nbsp;z\u00e1kazu prenaj\u00edma\u0165 nehnute\u013enosti na vymedzen\u00e9 \u00fa\u010dely. V&nbsp;na\u0161om pr\u00edpade ide v\u0161ak len o&nbsp;do\u010dasn\u00fd z\u00e1kaz \u010dinnosti vybran\u00fdch prev\u00e1dzok, nie z\u00e1kaz prenaj\u00edmania nehnute\u013enost\u00ed na uveden\u00fd \u00fa\u010del.&nbsp; &nbsp;<\/p>\n\n\n\n<p class=\"has-very-light-gray-background-color has-background\"><br>&nbsp;<strong> Pozor ! <\/strong>Dodato\u010dn\u00fa nemo\u017enos\u0165 plnenia je treba odli\u0161ova\u0165 od po\u010diato\u010dnej nemo\u017enosti. Po\u010diato\u010dn\u00e1 nemo\u017enos\u0165, ktor\u00e1 existovala v&nbsp;\u010dase uzatvorenia zmluvy a nevznikla dodato\u010dne m\u00e1 za n\u00e1sledok neplatnos\u0165 tak\u00e9ho pr\u00e1vneho \u00fakonu, nie nemo\u017enos\u0165 plnenia.<\/p>\n\n\n\n<p><strong>&nbsp; N\u00e1sledn\u00e1 prax v&nbsp;realite m\u00f4\u017ee vyzera\u0165 nasledovne. N\u00e1jomca upovedom\u00ed prenaj\u00edmate\u013ea o d\u00f4vodoch&nbsp;nemo\u017enosti plnenia a&nbsp;o&nbsp;tom, \u017ee neuhrad\u00ed dotknut\u00fd n\u00e1jom. Prenaj\u00edmate\u013e bu\u010f uveden\u00e9 akceptuje, pr\u00edpadne m\u00f4\u017ee vym\u00e1ha\u0165 n\u00e1jomn\u00e9 alebo jednostranne ukon\u010di\u0165 n\u00e1jom (z\u00e1vis\u00ed od druhu n\u00e1jmu). Jednostranne ukon\u010di\u0165 n\u00e1jomn\u00fa zmluvu z d\u00f4vodu nezaplatenia n\u00e1jomn\u00e9ho splatn\u00e9ho v obdob\u00ed od 01.04.2020 do 30.06.2020 v\u0161ak mo\u017ee najsk\u00f4r v&nbsp;roku 2021. V&nbsp;pr\u00edpade, \u017ee prenaj\u00edmate\u013e jednostranne ukon\u010d\u00ed n\u00e1jom a&nbsp;n\u00e1jomca bude namieta\u0165 tak\u00e9to ukon\u010denie ako neplatn\u00e9 pr\u00e1ve z&nbsp;d\u00f4vodu, \u017ee pre nemo\u017enos\u0165 plnenia povinnos\u0165 plati\u0165 n\u00e1jomn\u00e9 zanikla, potom bude prenaj\u00edmate\u013e n\u00faten\u00fd poda\u0165 \u017ealobu o&nbsp;vypratanie prenaj\u00edmanej nehnute\u013enosti. V&nbsp;tomto konan\u00ed si s\u00fad z\u00e1rove\u0148 ako prejudici\u00e1lnu ot\u00e1zku vysporiada, \u010di jednostrann\u00e9 ukon\u010denie n\u00e1jomnej zmluvy prenaj\u00edmate\u013eom je platn\u00e9, a&nbsp;teda \u010di plnenie n\u00e1jmu bolo pr\u00e1vne (ne)mo\u017en\u00e9. V&nbsp;pr\u00edpade, \u017ee s\u00fad bude pova\u017eova\u0165 ukon\u010denie n\u00e1jomnej zmluvy zo strany prenaj\u00edmate\u013ea za platn\u00e9, rozhodne o&nbsp;tom, \u017ee n\u00e1jomca je povinn\u00fd vyprata\u0165 nehnute\u013enos\u0165. V&nbsp;opa\u010dnom pr\u00edpade s\u00fad \u017ealobu zamietne. Rovnako sa s\u00fad prejudici\u00e1lne vysporiada s&nbsp;nemo\u017enos\u0165ou plnenia v&nbsp;pr\u00edpade, \u017ee sa prenaj\u00edmate\u013e rozhodne vym\u00e1ha\u0165 n\u00e1jomn\u00e9, a&nbsp;teda bu\u010f \u017ealobu zamietne alebo n\u00e1jomcu zavia\u017ee na \u00fahradu n\u00e1jmu. <\/strong><strong>Upozor\u0148ujeme, \u017ee k pr\u00e1vnej&nbsp;nemo\u017enosti plnenia z&nbsp;d\u00f4vodu zavretia prev\u00e1dzok pre COVID-19 doposia\u013e neexistuje \u017eiadna ust\u00e1len\u00e1 rozhodovacia prax s\u00fadov, preto nebolo mo\u017en\u00e9 v&nbsp;\u010dase p\u00edsania tohto \u010dl\u00e1nku pouk\u00e1za\u0165 na skutkovo a&nbsp;pr\u00e1vne obdobn\u00fd <em>\u201eprecedens\u201c<\/em>&nbsp; a&nbsp;predv\u00edda\u0165 legit\u00edmne o\u010dak\u00e1vania v\u00fdsledku pr\u00edpadn\u00fdch s\u00fadnych sporov. &nbsp;<\/strong><\/p>\n\n\n\n<p class=\"has-text-align-center has-background\" style=\"background-color:#a9c8d5\">&nbsp; Tento \u010dl\u00e1nok nie je pr\u00e1vnou slu\u017ebou, pri\u010dom ka\u017ed\u00fd pr\u00e1vny vz\u0165ah je nevyhnutn\u00e9 pos\u00fadi\u0165 pr\u00e1vne a&nbsp;skutkovo individu\u00e1lne. <strong>Ak m\u00e1te ak\u00e9ko\u013evek \u010fa\u013e\u0161ie ot\u00e1zky a potrebujete poradi\u0165,&nbsp;sme tu pre V\u00e1s.
